Blank-check SPAC terms — 2026-09-16
Haymaker Acquisition Corp V announced on 16 September 2026 a $250 million base IPO: twenty-five million units at $10. Each unit combines a Class A ordinary share and one-third of a redeemable warrant. A whole warrant has an $11.50 exercise price, subject to adjustments. NYSE trading under HYACU was expected on 17 September. The pricing release says $10 per unit would enter a trust account at closing.
How to read the structure
Haymaker is a blank-check SPAC. Trust cash provides a financing base for an eventual transaction and potential redemption payments; it should not be described as operating revenue. Third-warrant coverage means the initial unit bundles instruments with distinct future payoffs. Comparing the launch price with later common-share trading without separating those components can obscure value. The next substantive investment assessment concerns a target, its accounts and the merger's full share count. Sponsor economics and redemptions affect the capital that ultimately reaches that target. This article records the dated base terms, excluding later option exercises.
