Blank-check SPAC terms — 2026-08-07

OceanLight Acquisition announced on 7 August 2026 a ten-million-unit IPO at $10 per unit. Each package includes an ordinary share, a right to one-quarter of a share at the initial business combination and a redeemable warrant. A whole warrant permits purchase of one share at $11.50, subject to adjustments. The release expected Nasdaq Global Market trading under OCLTU that day and closing on 10 August, subject to conditions.

How to read the structure

OceanLight is a blank-check company. Its $100 million base financing should therefore be assessed as capital for a future transaction, not sales generated by a business. The right and warrant have different economics: one adds merger-linked equity, while the other depends on exercise terms and future value. A useful comparison with another SPAC must account for both instruments rather than just the common $10 launch price. The eventual target, redemption outcome and transaction financing will determine how much cash and how many shares accompany the operating company into public ownership.
